Terms of Service

1. About Profit Club

Profit Club (“we”, “us”, “the Service”) provides educational market analysis and trade research ideas through profitclub.live. By creating an account or using any part of the Service you agree to be bound by these terms.

2. Eligibility

• You must be at least 18 years of age.
• You must be legally permitted to trade foreign exchange (FX) and/or cryptocurrency in your jurisdiction.
• By creating an account you represent and warrant that you meet both requirements above.
• We reserve the right to restrict access from jurisdictions where the Service may conflict with local financial regulations.

3. Not financial advice — educational only

All content on Profit Club — including but not limited to trade setups, signals, reversal alerts, probability scores, and commentary — is for educational and informational purposes only.

• We are not a registered financial adviser, broker, dealer, or investment company in New Zealand, Australia, the United Kingdom, the United States, or any other jurisdiction.
• We do not consider your personal financial situation, risk tolerance, or investment objectives. You should consult a licensed financial adviser before making any trading decisions.
• Nothing on the Service constitutes a recommendation, solicitation, or offer to buy or sell any financial instrument.
• All trade research ideas represent hypothetical analysis based on Smart Money Concepts (SMC/ICT/IPDA) methodology. They are not trade orders, instructions, or directives.
• You are solely and entirely responsible for your own trading decisions, including whether to enter, exit, size, or manage any position.

5. Service “as is”

The Service, including all trade setups, alerts, and market data, is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

• We do not guarantee the timeliness, accuracy, completeness, or reliability of any trade setup, alert, or market data.
• Market data is sourced from third-party providers and may be delayed, incomplete, or contain errors.
• Signals may fail to deliver due to network issues, server downtime, or provider outages. You should never rely solely on the Service for trade management.
• The reversal-watch engine is an automated monitoring tool operating on fixed intervals — it cannot guarantee real-time detection of adverse price moves.

6. Limitation of liability

To the maximum extent permitted by applicable law:

• We shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to trading losses, lost profits, or loss of data.
• Our total aggregate liability for any claim arising out of or relating to these terms or your use of the Service shall not exceed the total fees actually paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim, or NZD $100, whichever is greater.
• These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

7. Indemnification

You agree to indemnify, defend, and hold harmless Profit Club, its operators, affiliates, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your trading decisions or any action taken based on content from the Service;
• Your breach of these terms;
• Your violation of any applicable law or regulation;
• Any dispute between you and a third party (including your broker) relating to trades influenced by the Service.

8. Memberships & billing

• Weekly memberships renew weekly and can be cancelled at any time from the billing portal.
• Annual memberships are non-refundable but you retain access through the paid period.
• Prices are shown in USD unless otherwise noted.
• We reserve the right to change pricing with 14 days' notice to active subscribers.

9. Account sharing & sessions

Free and Profit memberships are limited to a single concurrent device session. Premier supports multiple devices. Sharing credentials, reselling access, or circumventing session enforcement may result in immediate suspension without refund.

10. User conduct

• You will not redistribute, copy, or publicly share trade setups from the Service without written permission.
• You will not use the Service for any unlawful purpose or in violation of any applicable regulations.
• You will not attempt to reverse-engineer, scrape, or automate access to the Service.

11. Termination

You can delete your account at any time from settings. We may suspend or terminate accounts that abuse the Service, share access, violate these terms, or create legal risk for us, without prior notice and without refund where the breach is material.

12. Governing law & jurisdiction

These terms are governed by and construed in accordance with the laws of New Zealand. Any dispute arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.

13. Changes to these terms

We may update these terms from time to time. Material changes will be notified via email or an in-platform banner at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated terms.

14. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms otherwise remain in full force and effect.
